Public offer and Terms of Service
Questo documento è in inglese e fa fede la versione inglese.
1. What this document is
1.1. This page is a public offer by Constantium (“Constantium”, “we”, “us”), a creative production studio run by a registered individual entrepreneur (FOP) in Ukraine, contact hello@constantium.agency. The entrepreneur’s full name, tax number and bank details are stated on every invoice and form part of this agreement.
1.2. You (“Client”) accept this offer, and these Terms become a binding agreement under Articles 633, 641 and 642 of the Civil Code of Ukraine, when you tick the consent box on our order form, confirm an order by email, or pay an invoice in full or in part, whichever comes first. No separate signature is needed.
1.3. Our services are offered only to businesses (B2B). By accepting, you confirm you act in a commercial capacity and are authorised to bind your company.
1.4. If a separate written agreement signed by both parties conflicts with these Terms, the signed agreement prevails for that project.
2. What we deliver
2.1. Constantium produces and delivers digital files: video (MP4) and static images (PNG/JPG) (“Deliverables”), in the quantity, formats and languages of the package you choose. That is the whole of our obligation.
2.2. We do not manage ad accounts, buy media, set bids or budgets, or give legal, regulatory or financial advice.
2.3. Current packages (the invoice states the final amount and currency):
| Package | Price | What it includes |
|---|---|---|
| Free Audit | Free | Written review of three current ads and three new hooks, within two working days. No obligation. |
| Pilot Test Batch | €1,100 / $1,200, one-time | 5 original concepts with 3–5 three-second hooks each (static versions on request), delivered in 9:16, 4:5, 1:1 and 16:9, within five working days after brief approval. If the Client orders the Dedicated Growth Pipeline within 14 days after the pilot is delivered, the pilot fee is credited against the first month. |
| Dedicated Growth Pipeline | From €3,200 / $3,500 per month (−10% paid quarterly); the exact amount is set in the written quote | Weekly delivery of new concepts and hooks (typically 20–30 creatives a week, up to 50 with mass UGC variants; static versions on request), a monthly creative performance review, variations of approved winning concepts and AI localisation, within the monthly render capacity stated in the quote. “Unlimited” variations means unlimited within that capacity. |
| Scale & Automation Partner | By agreement | Everything in the Dedicated Growth Pipeline plus market and niche research, brand strategy and a Creative Growth Strategy, a dedicated Creative Ad Factory built for the Client (code-built video and static templates connected to the Client’s sheets) and priority production capacity, typically 100+ video creatives and up to 500+ static variants a week; the exact capacity is set in the written quote. Any performance bonus is agreed in writing in advance and is paid in addition to the fee; it never reduces the fee. |
2.4. Exact scope, deadlines and volumes for each order are confirmed by email before payment. That confirmation, together with these Terms, is the order.
3. No guarantee of ad results
3.1. Our “three hooks, one body” structure is built for testing, but we make no promise about how any Deliverable will perform. Hook rate, hold rate, CTR, CPI, CAC, ROAS and similar metrics depend on factors we do not control: ad platform auctions and algorithms, your bids, budget, targeting, seasonality, store conversion and your product itself.
3.2. Metrics, forecasts and concept cases on constantium.agency and in our showreel illustrate method and market benchmarks. They are not a promise of similar results. How your tests and ads perform is never a ground for a refund, a discount or a claim.
4. Ad platforms and moderation
4.1. You are the advertiser of record whenever you upload or run Deliverables on any ad network.
4.2. Platforms change their rules without notice. We are not liable if a Deliverable is rejected, limited or flagged, or if your ad account is restricted, suspended or banned.
4.3. If a Deliverable is flagged on first upload, you may use the included revision round (section 8) for changes that help it pass review.
5. Your materials, claims and translations
5.1. You confirm you own or are licensed to use everything you give us: brand assets, logos, trademarks, app screens and footage, product claims, prices, and data in sheets or CSV files.
5.2. Before running any ad, you check and approve all text and visuals, including prices, offers, legal disclaimers and every translation. AI-assisted translations, voices and subtitles are a draft for your review; final accuracy in each market is your responsibility.
5.3. You are responsible for your product and its advertising claims complying with the law of every country where the ads run (including consumer protection, data protection, and rules for finance, health, gambling-like mechanics and subscriptions).
5.4. You will hold Constantium harmless from third-party claims, fines and costs arising from your use of the Deliverables, from claims or materials you supplied or approved, or from breach of platform rules.
6. AI-generated and stock elements
6.1. Some Deliverables use generative AI (synthetic presenters, voices, lip-sync, backgrounds). They are provided as they are; the copyright status of AI output differs between countries.
6.2. Where the law (such as the EU AI Act) or a platform requires it, you mark ads as AI-generated when you upload them.
6.3. Licensed stock footage, music or templates inside a Deliverable may be used only as part of that final file, not extracted or redistributed on their own.
7. Rights
7.1. Once the order is paid in full, you receive an exclusive, worldwide, perpetual, royalty-free licence to use, modify, publish and run in paid and organic advertising (broadcast included) the final exported files (MP4 video, PNG/JPG static). Third-party elements inside them (licensed stock, music, fonts and AI services) stay under their own licences and are licensed to you non-exclusively, as part of the final files. Our portfolio right in 7.3 is kept.
7.2. Constantium keeps all rights in its production system: code, render scripts, sheet pipelines, project and template files, rigs and methods. An order buys the rendered files, not the engine or source files, unless a written buyout is agreed.
7.3. We may show the final files and your brand name in our portfolio and on constantium.agency as a case study, without disclosing your ad spend or internal metrics (CPA, ROAS and similar), unless you ask in writing before production starts for white-label work or a strict NDA.
8. Payment, revisions and acceptance
8.1. All orders are paid 100% in advance by bank transfer to the account on the invoice: in EUR or USD, or in UAH for clients registered in Ukraine. Work starts when payment arrives. Bank and transfer fees on the Client’s side are paid by the Client; SWIFT transfers are sent with the OUR charge option.
8.2. Constantium is not a VAT payer and charges no VAT. Any tax due in the Client’s country on buying services from abroad (such as the EU reverse charge) is handled by the Client.
8.3. Each concept includes up to two rounds of revisions at the script and hook-matrix stage and one round of visual revisions on the master template before batch rendering. After batch rendering, changes are limited to fixing defects (section 8.6). New scripts or concepts after approval count as a new order or come out of the monthly capacity.
8.4. You have three working days (72 hours) after delivery to send specific revision requests. Without them in that time, the delivery is accepted.
8.5. Payments are not refundable. Our services are creative production, and the result is judged by the files delivered, not by how ads perform; there are no cash refunds for a change of mind, a change of strategy, or test results.
8.6. If a delivery has a defect or does not match the approved order, we fix or remake it free of charge. If we are late or cannot produce part of an order, you choose: we complete it, or the unused part becomes a credit for a future order.
8.7. Only if we fail to deliver an order at all within 30 days after the agreed deadline may you ask to return the payment for the part not delivered; it is sent by bank transfer within 30 days, subject to the bank and currency-control rules that apply.
9. Monthly plans
9.1. Monthly plans renew every 30 days (every 90 days if paid quarterly). Unused capacity does not carry over.
9.2. You can pause or cancel the next period at any time by email, at least seven days before renewal. The current paid period is completed in full and is not refunded.
10. Limitation of liability
10.1. To the extent the law allows, Constantium is not liable for indirect or consequential loss, including lost ad spend, lost profit or revenue, lost data, business interruption or ad account suspension.
10.2. Our total liability for any claim is limited to the amount you paid for the specific order, or for the most recent month of a monthly plan, that the claim relates to.
10.3. Nothing here limits liability that cannot be limited by law, such as for intent or gross negligence.
10.4. Force majeure. Neither party is liable for a delay or failure caused by events beyond its reasonable control, including martial law, hostilities, air-raid alerts, power or internet outages, or acts of authorities. The affected party informs the other without delay, and deadlines are extended for as long as the event lasts. If it lasts more than 30 days, either party may cancel the unperformed part of the order; prepaid amounts for that part become a credit or are returned under 8.7.
11. Personal data
11.1. When you use the order form we store your app link, email, chosen package, message, page language, country and the version of these Terms you accepted, to answer your request and keep a record of the agreement. The data is processed with Cloudflare (hosting and storage), Google Workspace (email and sheets) and Telegram (internal notifications).
11.2. We do not sell your data. To see, correct or delete it, write to hello@constantium.agency.
12. Law and disputes
12.1. These Terms are governed by the law of Ukraine.
12.2. Before going to court, the party with a complaint writes to the other and allows 30 days to settle it in good faith.
12.3. Unresolved disputes go to the competent courts of Ukraine.
12.4. If any part of these Terms is invalid, the rest stays in force. We may update these Terms; the version you accepted applies to your order.
12.5. These Terms are made in English and Ukrainian. If the versions differ, the English version prevails. Pages of constantium.agency translated into other languages are for convenience; if anything on them differs from these Terms, these English Terms prevail.
